## Important notice

Please read this Agreement carefully. By affirmatively selecting the acceptance checkbox presented with this Agreement and activating a HorizonSong private-beta account, you agree to this Agreement, including the HorizonSong Beta Privacy Notice, version 2026-08-23-v4, which is incorporated into and forms part of this Agreement. If you do not agree, do not activate or use HorizonSong.

Submitting a request for beta access, receiving an email, opening or clicking an email, visiting a page, creating login credentials, or viewing these documents does not by itself mean that you accepted this Agreement. Acceptance requires the separate affirmative action described above.

## Plain-language summary

- HorizonSong is a limited, request-based, unpaid beta for adults in the United States.

- HorizonSong is a user-controlled job-search decision workspace. It is not an employer, recruiter, job board, hiring platform, employment assessment, or placement service.

- HorizonSong may organize information and create AI-assisted suggestions or drafts, but you decide what to use and must review everything before external use.

- Do not submit highly sensitive, regulated, illegal, or third-party-confidential information.

- The beta may change, fail, pause, or end. No employment or other outcome is guaranteed.

- You may stop participating, request account closure, or request access, correction, or deletion. Those are separate requests.

- The sections below, not this summary, control if there is any inconsistency.

## 1. Beta status

HorizonSong is an experimental private beta. Access is limited, request-based, voluntary, and currently unpaid. A request does not guarantee selection, activation, timing, continued access, or any feature.

Features may be incomplete, inaccurate, unavailable, changed, suspended, or discontinued. Wingspan LLC may impose reasonable usage, storage, feature, or account limits and may modify the beta to protect users, the service, or third parties.

This Agreement does not promise a future public or paid version. Any future paid offering will require separate or updated terms and, where applicable, renewed affirmative acceptance.

## 2. Eligibility and account responsibility

You may participate only if you:

1. are at least 18 years old;

2. are located in the United States;

3. provide accurate account and request information;

4. use HorizonSong for your own lawful job-search and career-organization purposes; and

5. can enter into this Agreement for yourself.

You are responsible for protecting your login credentials and for activity performed through your account. Do not share a beta key, password, authentication code, or account. Notify Wingspan LLC promptly at admin@horizonsong.net if you reasonably believe your account or credentials have been compromised. Do not send passwords, authentication codes, resumes, or other sensitive documents by ordinary email.

## 3. Limited license

Subject to this Agreement, Wingspan LLC grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the activated private beta for your own lawful purposes during the beta period.

No ownership interest in HorizonSong or Wingspan LLC intellectual property is transferred to you. Rights not expressly granted are reserved.

## 4. What HorizonSong is and is not

HorizonSong is designed to help an individual organize job leads, selected experience and preferences, role information, questions, evidence, next steps, and reviewable draft materials.

HorizonSong is not a job board, recruiter, staffing agency, employer, hiring platform, background-check provider, consumer-reporting agency, employment-screening tool, professional employment assessment, legal adviser, placement service, or substitute for qualified professional advice.

HorizonSong is designed for individual job seekers. It is not offered for employer-side hiring, screening, ranking, selection, discipline, compensation, promotion, or other employment decisions about another person.

## 5. No employment or outcome guarantee

HorizonSong does not guarantee interviews, employer responses, application acceptance, job offers, hiring, compensation, income, promotion, career advancement, eligibility, fit, safety, accuracy, or any other employment or financial outcome.

Any label, signal, score, summary, comparison, prompt, draft, suggestion, or next-step recommendation is a decision aid for your review. It is not a validated employment assessment, professional evaluation, legal conclusion, or prediction.

You remain responsible for researching opportunities, verifying information, making decisions, and determining whether, when, and how to communicate with an employer or submit an application.

## 6. User control and external actions

HorizonSong does not have authority to make decisions for you. Unless a separately described feature is activated with clear confirmation, HorizonSong does not apply for jobs, contact employers, submit forms, make commitments, accept terms for you, or represent you.

You must review, verify, edit, approve, or reject all information and draft materials before using them outside HorizonSong. You are responsible for external communications and submissions you choose to make.

## 7. AI-assisted features

When an AI-assisted feature is enabled and you request it, HorizonSong may use automated or computer-assisted tools to organize information, summarize role materials, identify questions, suggest next steps, compare user-selected information, or generate draft text.

AI-assisted output may be incomplete, inaccurate, biased, misleading, outdated, fabricated, or unsuitable. It may omit important context. Do not rely on it as the sole basis for an employment, legal, financial, medical, immigration, safety, or other consequential decision.

You must review and verify every output. You may correct, reject, delete, or choose not to save an output. AI processing is described further in the incorporated Beta Privacy Notice.

Wingspan LLC will not intentionally use your private workspace content to train a general-public AI model unless that materially different use is separately disclosed and you separately agree.

## 8. Your content and the operating license

"Your Content" means information, documents, files, notes, job leads, role descriptions, preferences, profile information, drafts, feedback, and other materials you submit, upload, enter, create, or choose to save in HorizonSong.

As between you and Wingspan LLC, you retain ownership of Your Content. You represent that you have the rights and permissions needed to provide and use Your Content in HorizonSong.

You grant Wingspan LLC a limited, non-exclusive license to host, store, quarantine, scan, validate, parse, extract, analyze, organize, display, transform, summarize, generate requested drafts from, export, retain, and delete Your Content only as reasonably needed to:

- provide features you activate or request;

- operate, secure, troubleshoot, support, evaluate, and improve the private beta;

- respond to your requests;

- prevent misuse or harm; and

- meet documented legal, security, dispute, or operational obligations described in this Agreement and the incorporated Beta Privacy Notice.

This license ends when the applicable content is deleted from systems Wingspan LLC controls, except to the extent a documented hold applies or provider-managed logs, backups, security records, or other copies remain outside Wingspan LLC's direct control as disclosed in the Beta Privacy Notice.

## 9. Documents and sensitive information

HorizonSong may support career-related documents, such as resumes, cover letters, role descriptions, work-history materials, portfolio summaries, and job-search notes, when the activated build identifies them as supported.

Do not submit information that is not reasonably necessary for your use of HorizonSong. In particular, do not submit:

- Social Security, tax, passport, driver's-license, financial-account, payment-card, or authentication information;

- medical, disability, genetic, biometric, or detailed health information;

- immigration documents or government-issued identity documents;

- information about children;

- trade secrets or employer-confidential information you are not authorized to use;

- background-check or consumer-report information about another person;

- malware, harmful code, unlawful material, or content that violates another person's rights; or

- another person's sensitive information without a lawful basis and appropriate permission.

No screening or scanning process detects every prohibited category or threat. Wingspan LLC may reject, quarantine, restrict, or delete unsafe, unsupported, prohibited, or unverifiable files and may suspend related access.

## 10. Incorporated Beta Privacy Notice

The HorizonSong Beta Privacy Notice, version 2026-08-23-v4, presented and linked with this Agreement is incorporated into and forms part of this Agreement. It describes categories of information, purposes, provider roles, retention, deletion, security limitations, participant choices, and request methods.

If the EULA and Privacy Notice conflict, the provision that gives the participant the greater privacy protection will control for data handling, unless applicable law requires another result. No request-stage notice or optional consent changes this Agreement unless it expressly identifies the change and is separately accepted where required.

Because the Privacy Notice is contractually incorporated, Wingspan LLC must reconcile the live product and provider practices to the exact accepted notice. A material change requires renewed assent as described in Section 23.

## 11. Retention, deletion, and provider copies

Wingspan LLC may retain private-beta records only as reasonably needed for beta operation, participant support, security, product evaluation, legal obligations, dispute handling, abuse prevention, or documented operational purposes described in the incorporated Beta Privacy Notice.

After a reasonably verified deletion request, Wingspan LLC will delete records it controls within 10 business days, unless a documented legal, security, abuse-prevention, dispute, or operational hold applies.

Deletion may not immediately remove provider-managed logs, backups, quarantine records, security records, or other copies outside Wingspan LLC's direct control. Those copies may remain until they age out under applicable provider systems and schedules.

Stopping use, opting out of optional email, withdrawing from beta participation, closing an account, and requesting data deletion are separate actions. One does not automatically complete another.

## 12. Feedback

You are not required to provide feedback. If you voluntarily provide suggestions, usability observations, bug reports, or other feedback about HorizonSong, you grant Wingspan LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and incorporate that feedback to develop, operate, secure, and improve HorizonSong and related Wingspan LLC offerings.

This feedback license does not transfer ownership of Your Content and does not authorize public use of your name, likeness, recommendation, private messages, or personal information as a testimonial or endorsement without separate permission.

## 13. Confidential beta materials

Wingspan LLC may identify specific nonpublic pre-release information as confidential. If it does, you agree not to disclose that identified information except as reasonably necessary to report an issue to Wingspan LLC or obtain professional advice from someone who is also required to keep it confidential.

This section does not restrict information that is public through no breach by you, already lawfully known to you, independently developed, lawfully received from another source, or required to be disclosed by law. It does not prevent you from reporting a safety, legal, accessibility, privacy, or security concern to an appropriate authority.

## 14. Acceptable use

You may not:

- use HorizonSong unlawfully or to harm, harass, deceive, discriminate against, or impersonate another person;

- use HorizonSong to make employer-side or other consequential decisions about another person;

- upload content you do not have a right to use;

- probe, scan, test, or bypass security, authentication, access controls, rate limits, or account isolation without written authorization;

- introduce malware, automate abusive traffic, scrape nonpublic data, or interfere with service operation;

- reverse engineer or attempt to extract source code except to the limited extent applicable law expressly permits despite this restriction;

- resell, sublicense, or provide the beta as a service to another person;

- misrepresent AI-assisted output as independently verified or as a Wingspan LLC guarantee; or

- use HorizonSong to violate another agreement, law, regulation, or third-party right.

## 15. Ownership

HorizonSong, its software, interface, design, documentation, trademarks, and related materials are owned by Wingspan LLC or its licensors and are protected by applicable law. Your Content remains yours subject to the limited operating license in Section 8.

Nothing in this Agreement grants permission to use another party's name, logo, trademark, copyrighted material, or confidential information.

## 16. Third-party services

HorizonSong may rely on third-party service providers for hosting, security, authentication, storage, email, document processing, support, and user-requested AI-assisted functions. Their systems may experience outages, changes, security incidents, or retention limitations outside Wingspan LLC's direct control.

Wingspan LLC remains responsible for the commitments it makes in this Agreement to the extent required by applicable law. Third-party services may also have their own terms that apply when you interact directly with them.

## 17. No professional advice

HorizonSong does not provide legal, financial, tax, medical, mental-health, immigration, human-resources, employment-law, accessibility-law, or professional counseling advice. Consult an appropriate professional for decisions requiring professional judgment.

## 18. Accessibility, security, and availability

Wingspan LLC intends to make the beta usable by a range of participants and welcomes accessibility feedback. This is not a warranty or certification that every feature, document, workflow, or third-party service conforms to a particular accessibility standard.

Wingspan LLC uses reasonable measures appropriate to the beta and the information involved, but no system is perfectly secure. You use the beta with the understanding that loss, unauthorized access, outages, or other incidents may occur. Wingspan LLC will provide legally required notices of a qualifying security incident.

## 19. Suspension, termination, withdrawal, and account closure

Wingspan LLC may suspend or end access to protect the service or others, investigate suspected misuse, comply with law, respond to risk, or end the beta. When reasonably practicable, Wingspan LLC will provide notice or an opportunity to export supported content, but it is not required to do so when immediate action is reasonably necessary.

You may stop using HorizonSong at any time. You may request beta withdrawal or account closure at admin@horizonsong.net. Withdrawing ends your participation after the request is reasonably verified and processed, but does not itself request deletion. Account closure and data deletion are separate requests.

Sections that by their nature should survive termination will survive, including ownership, feedback rights already granted, warranty disclaimers, liability limits, dispute provisions, and obligations concerning misuse or third-party rights.

## 20. Disclaimer of warranties

To the fullest extent permitted by law, HorizonSong is provided "as is" and "as available." Wingspan LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, and results.

Wingspan LLC does not warrant that HorizonSong will be error-free, secure, complete, accessible in every context, compatible with every device, or available at any particular time. Nothing in this Agreement excludes a warranty or right that applicable law does not permit Wingspan LLC to exclude.

## 21. Limitation of liability

To the fullest extent permitted by law, Wingspan LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost opportunities, lost employment, lost data, business interruption, or substitute services, arising from or related to the private beta, even if advised that such harm is possible.

To the fullest extent permitted by law, Wingspan LLC's aggregate liability arising from or related to the private beta will not exceed the amounts, if any, you paid Wingspan LLC specifically for private-beta access during the 12 months before the event giving rise to the claim. The current private beta is unpaid, so that amount is currently $0.

These limits do not apply to liability that cannot lawfully be excluded or limited, including any liability for which applicable law requires a different remedy. This section allocates risk; it does not create a release of claims that cannot lawfully be released and does not waive nonwaivable rights.

## 22. Limited indemnity for misuse

To the extent permitted by law, you agree to defend and indemnify Wingspan LLC against a third-party claim arising directly from your intentional unlawful use of HorizonSong, your knowing violation of another person's intellectual-property or privacy rights through Your Content, or your material breach of Section 14.

This obligation does not apply to the extent the claim results from Wingspan LLC's conduct, a defect in HorizonSong, or a matter that applicable law does not permit Wingspan LLC to shift to you. Wingspan LLC will provide reasonable notice and allow you to participate in the defense, while retaining the right to protect its interests.

## 23. Changes and renewed acceptance

Wingspan LLC may update this Agreement or the incorporated Beta Privacy Notice as the beta changes. Wingspan LLC will identify the version and effective date presented to you.

A material change will require renewed affirmative assent before continued participation. Material changes include changes to payment, liability allocation, dispute terms, data categories, processing purposes, disclosures, AI or provider roles, public-model-training treatment, retention or deletion commitments, security commitments, participant rights, or another term reasonably likely to affect a participant's decision to continue.

Prior versions, document hashes, checkbox text, acceptance records, and reacceptance records will be preserved according to the applicable retention policy and will not be silently overwritten. If you do not agree to a material update, you must stop using the beta and may request withdrawal, account closure, or deletion as separate actions.

## 24. Governing law and venue

This Agreement is governed by the laws of the State of Indiana, without regard to conflict-of-law rules, except to the extent another law must apply.

Any dispute arising from or related to this Agreement or HorizonSong will be brought in a state or federal court with jurisdiction in Indiana, unless applicable law requires another forum or permits a claim to be brought elsewhere. Nothing in this section prevents either party from seeking appropriate injunctive or emergency relief where legally available.

## 25. Entire agreement, severability, waiver, and assignment

This Agreement, including the incorporated HorizonSong Beta Privacy Notice and any beta-specific notice you separately accept, is the entire agreement between you and Wingspan LLC concerning the private beta and supersedes prior terms presented for the same beta access.

If a provision is found unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign this Agreement without Wingspan LLC's written consent. Wingspan LLC may assign it in connection with a merger, reorganization, sale of assets, or similar transaction, subject to applicable law and the incorporated Privacy Notice.

Headings are for convenience only. "Including" means "including without limitation." Electronic records and affirmative electronic acceptance may be used to form and evidence this Agreement to the extent permitted by applicable law.
